General conditions for Mega Step services.
These Terms and Conditions apply to services supplied by Mega Step (HK) Ltd. unless a separate written agreement signed by Mega Step expressly states otherwise.
Mega Step provides these legal terms in English only. Any translation, browser translation or informal explanation is for convenience only; the English version is the controlling version.
1. Company and scope
Mega Step (HK) Ltd. is an independent quality control, inspection, audit, sample handling, laboratory coordination, sourcing support and reporting service provider. These Terms apply to quotations, service orders, inspections, audits, reports, online reporting access, sample work, compliance coordination and related business communication.
Mega Step (HK) Ltd. is registered at Room D, 7/F, Hollywood Centre, 77-91 Queen's Road West, Sheung Wan, Hong Kong.
2. Definitions
- Customer means the company or person ordering or paying for Mega Step services.
- Supplier means the factory, warehouse, laboratory, logistics provider or other third party involved in the goods or service location.
- Service means any inspection, audit, sample, laboratory coordination, sourcing support, reporting or related activity performed by Mega Step.
- Report means written, PDF, online or platform-based findings prepared by Mega Step after a service.
- Service date means the agreed date on which Mega Step is expected to perform the inspection, audit or related activity.
3. Service orders and acceptance
A service order is accepted only when Mega Step confirms the order, scope, location, timing and commercial terms in writing. Mega Step may decline or postpone a service if the scope is unclear, access is not confirmed, required information is missing, safety conditions are unsuitable, payment has not been arranged, or the requested activity would create legal or compliance risk.
4. Services provided
Services may include supplier evaluation, factory audits, product inspections, initial production checks, during-production inspections, pre-shipment inspections, container loading supervision, sample verification, sealed sample handling, laboratory test coordination, compliance document follow-up, sourcing support and Qarma online inspection reporting.
The exact service scope must be agreed before the service date. Mega Step does not provide legal certification, product approval, customs clearance, insurance, product design sign-off or guaranteed shipment release unless expressly agreed in writing.
5. Customer responsibilities
The customer must provide complete, accurate and timely information needed for the service. This may include product specifications, order quantity, item list, artwork, labels, packing requirements, AQL settings, measurement tolerances, function check requirements, supplier contact details, factory address, service date, purchase order references, booking instructions and special reporting requirements.
The customer is responsible for confirming supplier readiness, factory access, product availability, inspection space, lighting, power, unpacking support, repacking support and safe working conditions. Delays, failed visits or incomplete inspections caused by missing access or missing information may be charged.
6. Supplier access and third-party conduct
Mega Step depends on supplier cooperation for access, sampling, unpacking, document review, photos, measurements and loading supervision. Mega Step is not responsible for supplier refusal, late arrival, incomplete goods, hidden defects, unavailable documents, restricted photography, unsafe conditions or other matters outside Mega Step's control.
7. Sampling, AQL and inspection limits
Unless otherwise agreed, inspections are performed on a sample basis. AQL or other sampling plans provide a structured decision framework but do not guarantee that every nonconformity in the full lot will be found. Findings reflect the inspected sample, available documents, accessible goods and conditions observed at the time and place of service.
8. Reports and conclusions
Reports document observations, photos, checklist answers, measurements, defect classifications, comments and conclusions according to the agreed scope. A report may show pass, fail, pending, accepted, rejected or other customer-agreed result language.
Mega Step reports are intended to support customer decision-making. The customer remains responsible for final commercial decisions, shipment release, supplier claims, product compliance, market access, resale, recall decisions and communication with its own buyers or authorities.
9. Qarma online reporting and digital access
Where agreed, Mega Step may use Qarma online inspection reporting to structure checklists, photo evidence, AQL results, CAPA points and report sharing. Customer access to live or online inspection results may be offered as an add-on service and may require additional project cost, platform access setup or separate data processing terms.
10. Cloudflare, hosting and AI infrastructure
Mega Step may use Cloudflare services for website hosting or delivery, security, object storage, report access, serverless processing and related technical infrastructure. Mega Step uses Cloudflare subject to the applicable Cloudflare terms and documentation, including Cloudflare's Terms of Use, Privacy Policy, Service-Specific Terms and, where AI features are used, Cloudflare's Workers AI data usage documentation.
Mega Step may use approved AI services and internal agent workflows, including Ollama Cloud, Cloudflare Workers AI, Codex-assisted workflows and self-hosted Hermes or similar internal agent systems, to assist with translation, summarization, formatting, structured extraction, report drafting or internal review. AI-assisted processing does not replace Mega Step's professional judgment or the customer's final commercial decision. Material output remains subject to human review. Mega Step does not intentionally use customer inspection data, supplier data, report content or business records to train AI models or authorize unrelated model training from that data.
A customer may request in writing that hosted AI services not be used for a specific engagement or specified sensitive material. Mega Step will confirm whether the requested service can be delivered under that restriction and any resulting change to timing, scope or price.
11. Podio and business workflow systems
Mega Step may use Podio / Progress systems to store and manage business workflow records, including customer and supplier contacts, inspection bookings, task status, report workflow notes, invoice references, communication history and follow-up actions. Mega Step uses Podio subject to the applicable Progress / Podio terms and documentation, including the Progress Privacy Policy, ShareFile and Podio End User Agreement, Podio service description and related security and data protection resources.
Mega Step operates these workflows with practical confidentiality, access-control, retention and data protection measures. Where EU or UK personal data is involved, Mega Step aims to handle the relevant processing in a GDPR-aligned manner and to use service providers that publish appropriate data protection and security terms.
12. Fees, payment and taxes
Fees are based on the agreed quotation, service type, location, duration, urgency, travel requirement, reporting requirement and any special scope. Unless otherwise agreed in writing, services are payable before performance or according to the invoice terms issued by Mega Step.
Bank charges, taxes, customs fees, laboratory fees, courier fees, sample purchase costs, travel costs, overtime, waiting time and special administrative costs may be charged separately where applicable.
13. Rescheduling and cancellation
Rescheduling or cancellation must be communicated as early as possible in writing. Confirmed services may be charged if cancelled late, if the inspector has already travelled, if the supplier is not ready, if access is refused, if goods are unavailable, or if the service cannot be completed for reasons outside Mega Step's control.
Laboratory testing, courier shipment, sample purchase, third-party booking and other external costs may be non-refundable once launched or committed.
14. Customer materials and confidentiality
Product specifications, order details, supplier information, customer documents, report materials and inspection evidence are treated as confidential business information. Mega Step may use them only for service delivery, administration, legal compliance, dispute handling and agreed reporting unless the customer gives permission for another use.
Each party must protect the other party's non-public business, technical and commercial information using reasonable care and may disclose it only to personnel, contractors, professional advisers or service providers who need it for the relevant purpose and are subject to confidentiality duties. This obligation does not apply to information that is public through no breach, already lawfully known, independently developed, lawfully received from a third party, or required to be disclosed by law.
15. Intellectual property
Customer materials remain the property of the customer or relevant rights holder. Mega Step retains ownership of its service methods, templates, checklist structures, internal processes, know-how, website content and non-customer-specific materials. Reports prepared for a customer may be used by that customer for its internal business decision-making and supplier follow-up, subject to payment and these Terms.
16. Data protection
Mega Step processes personal data and inspection data according to its Privacy Policy and, where applicable, the Data Processing Agreement published on this website or separately agreed with the customer. The customer must ensure that any personal data, supplier data or employee data it provides to Mega Step may lawfully be used for the requested service. Where Mega Step acts as processor for a customer subject to GDPR Article 28, the Data Processing Agreement forms part of the service agreement unless the parties execute a separate DPA.
17. Digital Services Act notices and redress
Where the European Union Digital Services Act applies to Mega Step's website, online report links or related digital services, notices about illegal content, complaints about content or access decisions, and available redress options are handled according to Mega Step's Digital Services Act information page. Mega Step's services are business-to-business inspection and reporting services and are not intended to operate as a public social network, public marketplace or open user-generated content platform.
18. Compliance, anti-bribery and independence
Mega Step expects customers, suppliers, inspectors and partners to avoid bribery, improper payments, gifts intended to influence results, document falsification, intimidation or interference with inspection findings. Mega Step may refuse, suspend or terminate a service if independence, safety, legality or report integrity is at risk.
19. No guarantee and limitation of liability
Mega Step provides independent observations and reporting based on the agreed scope. Mega Step is not an insurer, guarantor, manufacturer, seller, importer, exporter, customs broker, market surveillance body or legal certifier. No inspection, audit or report can eliminate all product, supplier, compliance, logistics or commercial risk.
To the maximum extent permitted by applicable law, Mega Step's liability for a service is limited to the fees paid to Mega Step for that specific service. Mega Step is not liable for indirect, special, consequential, punitive or loss-of-profit damages, including shipment delay, lost sales, recall cost, business interruption, loss of goodwill or claims caused by customer or supplier decisions.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence where such liability cannot lawfully be excluded, or any other liability that applicable law does not permit the parties to exclude or limit.
20. Force majeure
Mega Step is not responsible for delay or failure caused by events outside its reasonable control, including severe weather, natural disaster, pandemic restrictions, transport disruption, government action, strikes, factory closure, power failure, platform outage, network disruption, civil unrest, war, safety incidents or supplier refusal.
21. Termination
Mega Step may suspend or terminate a service order if the customer fails to pay, withholds necessary information, requests unlawful activity, creates safety or compliance risk, interferes with reporting independence, or materially breaches these Terms.
22. Governing law and disputes
These Terms are governed by the laws of Hong Kong. The parties should first try to resolve disputes through good-faith business discussion. If no resolution is reached, disputes shall be submitted to the competent courts of Hong Kong unless a separate written agreement specifies another dispute resolution process.
23. Changes to these Terms
Mega Step may update these Terms from time to time. The version published on this website applies to new service orders unless a separate written agreement states otherwise.
